ALTERNATIVES TO INVEST IN SPAIN

ALTERNATIVES TO INVEST IN SPAIN - ALTERNATIVES TO INVEST IN SPAIN

The foreign investor has several alternatives to invest in Spain:

Constitution of a Spanish company.

The most commonly used corporate form is the limited liability company (S.L.). Also very widely used is the public limited company (S.A.), a form that is usually chosen by companies of a certain size. Companies have their own legal personality. The S.A. and S.L. are commercial companies in which liability is limited to the capital contributed. Both types of companies may also be constituted in a one-person form or become one-person where, once constituted, all shares or share shares have become the property of a single partner.

Opening of a branch.

It lacks its own legal personality independent of that of its parent company. However, it is an establishment equipped with permanent representation and some management autonomy, through which the activities of the parent company are carried out. Branches are registered in the Commercial Register.

Creation of a representative office.

This way of establishing yourself in Spain is only suitable for foreign companies that will carry out in Spain activities merely ancillary or secondary to those carried out by their central house abroad.

Partnership with other entrepreneurs already established in Spain

The joint ventures are a common way to establish yourself in Spain, to the extent that they allow you to share risks and combine resources and experience. In Spanish law you can distinguish different forms of joint-venture.

Development of the activity directly by an entrepreneur natural person.

Spanish regulations also include a special form of business activity by an individual entrepreneur through the figure of the “limited liability entrepreneur”.

However, it is not essential to invest in Spain to form a new entity or partner with existing ones. You can have a presence in our market, without physically establishing a trading center in Spain, through:

– Distribution agreements.

– Performing operations through an agent.

– Conducting trades through a commissioner.

– Establishment of a franchise.
